These Terms of Service ("Agreement") are entered into between Artifact ("Artifact," "we," "our," or "us"), a Delaware corporation, and you, the individual or entity accessing or using the Artifact platform ("you" or "Subscriber"). This Agreement governs your access to and use of Artifact's financial data, analytics, research tools, and related services available at www.artifactinsights.com and through our mobile applications (collectively, the "Services").
If you are entering into this Agreement on behalf of a firm, fund, institution, or other organization, you represent and warrant that you have the authority to bind that organization to this Agreement, and references to "you" shall include that organization.
For purposes of this Agreement, the following terms have the meanings set forth below:
The Services are designed for use by investment professionals and financially sophisticated individuals and institutions. By accessing the Services, you represent that you are: (i) at least 18 years of age; (ii) legally authorized to enter into binding contracts in your jurisdiction; and (iii) accessing the Services for lawful investment research, analysis, or related professional purposes.
Certain data products, features, or subscription tiers may be restricted to Professional Subscribers or to users who complete additional verification steps, including providing evidence of professional credentials, regulatory registration, or institutional affiliation. Artifact reserves the right to verify eligibility at any time and to limit access to any feature or data set accordingly.
To access the Services, you must create an account and provide accurate, current, and complete information, including your name, professional email address, firm name (if applicable), and any other information requested during registration. You agree to promptly update your account information to keep it accurate.
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify Artifact immediately at [email protected] if you suspect any unauthorized access to or use of your account.
Each Seat is licensed to a single, named Authorized User. You may not share login credentials, allow concurrent access by multiple individuals through a single Seat, operate shared terminals, or otherwise permit more than one individual to access the Services via a single Seat. Organizations requiring access for multiple personnel must purchase a Seat for each Authorized User.
Artifact provides a professional-grade financial data and analytics platform offering, among other things: real-time and historical market data, equity and fixed income analytics, alternative data sets, financial modeling tools, portfolio analytics, screening and visualization tools, and AI-assisted research features.
Artifact reserves the right, in its sole discretion and at any time, to modify, suspend, discontinue, or restrict access to all or any part of the Services, including any data set, feature, or tool, with or without notice.
You are solely responsible for obtaining and maintaining the hardware, software, internet connectivity, and other infrastructure necessary to access and use the Services.
Certain Content made available through the Services is sourced from third-party Information Providers, including financial exchanges, data aggregators, index providers, and research firms. Information Providers are intended third-party beneficiaries of the relevant provisions of this Agreement and may enforce those provisions directly against you.
Artifact and its licensors retain all right, title, and interest in and to the Services, the Artifact Software, and all Content, including all intellectual property rights therein. No rights are granted to you other than the limited license expressly set forth in this Agreement.
Subject to your compliance with this Agreement and timely payment of all applicable fees, Artifact grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services and Content solely for your internal business purposes — including investment analysis, portfolio management, risk monitoring, and financial research.
You retain ownership of the original analysis, commentary, and independent intellectual contribution contained in your Work Product. Artifact retains ownership of all underlying Content incorporated therein.
You may share Limited Excerpts of Content externally provided that: (1) the sharing is occasional, non-systematic, and non-commercial in nature; (2) the excerpt does not substitute for a subscription to the Services; (3) you do not share bulk data exports or automated data feeds; and (4) you include clear attribution to "Artifact" (www.artifactinsights.com).
You agree not to: (i) alter, decompile, reverse engineer, or disassemble any Artifact Software; (ii) remove or obscure any copyright or proprietary notices; (iii) frame or mirror the Services on any other website; or (iv) use the Artifact name, logo, or trademarks without prior written permission.
Artifact offers multiple subscription tiers. Current pricing is available at www.artifactinsights.com/pricing. Artifact will provide no less than 30 days' advance notice of fee changes to existing subscribers.
Subscription fees are payable in advance on a monthly or annual basis. All fees are exclusive of applicable taxes; you are responsible for any taxes imposed on your subscription.
Subscriptions automatically renew at the end of each billing cycle unless you cancel prior to the renewal date. Artifact does not provide refunds for unused time within a paid period.
Organizations subscribing on behalf of multiple Authorized Users may be subject to a separately negotiated enterprise agreement. In the event of a conflict between this Agreement and a signed enterprise agreement, the enterprise agreement shall control.
At the end of any trial period, your access will either expire or automatically convert to a paid subscription, as disclosed at the time of trial registration.
This Agreement commences on the date you first access the Services and continues for the duration of your active subscription.
Artifact may suspend or terminate your access immediately if: (i) you materially breach this Agreement; (ii) you fail to pay any fees when due; (iii) Artifact is required to do so by law; or (iv) a bankruptcy or insolvency proceeding is initiated by or against you.
You may terminate this Agreement at any time by canceling your subscription. If Artifact materially breaches this Agreement and fails to remedy such breach within fifteen (15) days after written notice, you may terminate and receive a pro-rata refund of prepaid fees for unused time.
Upon termination, your license to access the Services and Content immediately terminates and you must cease all use of the Services.
THE SERVICES AND ALL CONTENT ARE PROVIDED FOR INFORMATIONAL AND RESEARCH PURPOSES ONLY. NOTHING IN THE SERVICES CONSTITUTES INVESTMENT ADVICE OR A RECOMMENDATION TO BUY, SELL, OR HOLD ANY SECURITY. YOU ARE SOLELY RESPONSIBLE FOR ALL INVESTMENT AND FINANCIAL DECISIONS YOU MAKE. ARTIFACT IS NOT A REGISTERED INVESTMENT ADVISER OR BROKER-DEALER.
THE SERVICES AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. ARTIFACT EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ARTIFACT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, TRADING LOSSES, OR MISSED INVESTMENT OPPORTUNITIES.
ARTIFACT'S TOTAL CUMULATIVE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THIS AGREEMENT SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO ARTIFACT IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
You agree to indemnify and hold harmless Artifact, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses arising out of or relating to your use of the Services in violation of this Agreement.
This Agreement shall be governed by the laws of the State of New York, without regard to its conflict of law principles.
EXCEPT AS PROVIDED IN SECTION 10.4, ANY DISPUTE ARISING OUT OF OR RELATING TO THIS AGREEMENT SHALL BE RESOLVED BY FINAL AND BINDING ARBITRATION ADMINISTERED BY THE AAA UNDER ITS COMMERCIAL ARBITRATION RULES. THE ARBITRATION SHALL BE CONDUCTED BY A SINGLE ARBITRATOR IN NEW YORK CITY, NEW YORK.
BY AGREEING TO ARBITRATION, YOU AND ARTIFACT EACH WAIVE THE RIGHT TO A JURY TRIAL AND THE RIGHT TO PARTICIPATE IN A CLASS ACTION OR REPRESENTATIVE PROCEEDING.
By accessing Content sourced from third-party Information Providers, you agree to be bound by any applicable third-party terms. Information Providers have proprietary rights in their respective data and may enforce their terms directly against you.
This Agreement, together with Artifact's Privacy Policy and any applicable enterprise agreement or data addendum, constitutes the entire agreement between you and Artifact with respect to the subject matter hereof.
Artifact reserves the right to modify this Agreement at any time. Material changes will be communicated at least 30 days prior to taking effect. Your continued use of the Services following the effective date constitutes acceptance of the updated Agreement.
Neither party shall be liable for any delay or failure in performance resulting from causes beyond its reasonable control, including acts of God, natural disasters, war, governmental actions, or telecommunications outages.
